How we supported

Challenge

A fintech startup with three founders of unequal contribution had reached seed stage without formalised equity arrangements. Investor interest was contingent on a clean cap table and documented founder agreements.

Solution

We guided the founding team through a restructuring of equity with differentiated vesting schedules, prepared a shareholders' agreement with appropriate protective provisions, and completed the full Sdn Bhd constitution update within three weeks.

Challenge

A healthtech platform was approaching Series A and needed to demonstrate regulatory compliance with Ministry of Health digital health requirements and protect its proprietary clinical algorithm as a trade secret before investor due diligence commenced.

Challenge

An edtech startup was closing an angel round from a US-based investor accustomed to SAFE instruments who had concerns about enforceability within Malaysian jurisdiction. The founders had limited time and a closing deadline set by the investor.

Solution

Wawasan Legal drafted a Malaysian-law SAFE with the economic and conversion mechanics familiar to the investor, addressed the investor's counsel's concerns about enforceability and conversion trigger events, and prepared the accompanying board consent documentation for the round.
