Formal engagement of our Services is established only upon written acceptance of our engagement letter or service proposal. Submission of an enquiry does not constitute a legal engagement or create a solicitor-client relationship.
3. Service Description
Wawasan Legal provides legal advisory and documentation services to early and growth-stage startups in Malaysia. Our primary service areas include:
- Startup incorporation and founder agreement preparation
- Investment round documentation (angel, seed, and Series A)

Services are delivered in accordance with the scope set out in a written engagement letter. Wawasan Legal does not provide tax advice, financial planning, or investment advice. Any references to such areas on this Website are informational only.
Service availability may be subject to capacity, conflict checks, and eligibility assessment. We reserve the right to decline an engagement where a conflict of interest exists or where the matter falls outside our practice scope.

- Work commences upon your written acceptance of the engagement letter and receipt of any required deposit
Until an engagement letter is countersigned and any applicable deposit is received, no legal relationship or duty of care is created.

6. Intellectual Property
All content on this Website — including text, design, structure, graphics, and code — is the intellectual property of Wawasan Legal or used under licence. You may not reproduce, adapt, or redistribute any part of the Website without our prior written consent.
Legal documents and advice prepared for your engagement remain the work product of Wawasan Legal until fees are settled in full, at which point ownership of deliverables transfers to you in accordance with the engagement letter.
Any pre-existing intellectual property you provide to us for use in an engagement (such as company materials, branding assets, or software code) remains your property. You grant us a limited licence to use such materials solely for the purpose of delivering the Services.
7. Fees & Payment Terms
Fees for Services are set out in the applicable engagement letter. Published prices on this Website (denominated in Malaysian Ringgit, RM) are indicative and may vary based on the complexity of the matter.
- Deposit: A deposit may be required prior to commencement of work, as specified in the engagement letter.
- Invoicing: Invoices are issued upon milestone completion or at intervals specified in the engagement letter.
- Payment terms: Invoices are due within 14 calendar days of issue unless otherwise agreed in writing.
- Currency: All fees are payable in Malaysian Ringgit (RM) via bank transfer or such other method as agreed.
- Late payment: Wawasan Legal reserves the right to suspend work on an engagement where invoices remain outstanding beyond the payment due date.
Refund Policy
Deposits are non-refundable where work has commenced. If an engagement is terminated before commencement, the deposit will be returned less any administrative costs reasonably incurred. Work completed prior to termination will be invoiced on a pro-rata basis.
8. Confidentiality
Wawasan Legal treats all client information as confidential and will not disclose it to third parties except where required by law, with your consent, or as necessary to deliver the Services (such as to co-counsel or regulatory bodies).
Our solicitor-client privilege obligations under Malaysian law apply to all engagements. Privilege protects certain communications made in the course of legal advice and litigation and cannot be waived without your explicit consent.
General enquiries submitted through the Website contact form are treated with discretion but do not carry solicitor-client privilege until a formal engagement is established.
9. Disclaimers
While we strive to keep Website content current and accurate, laws, regulations, and practice standards in Malaysia change over time. We make no representation that content on the Website reflects the current state of the law.
Results achieved for one client do not represent what another client may achieve. Every legal matter is unique, and outcomes depend on facts, timing, and circumstances outside our control.
10. Limitation of Liability
To the fullest extent permitted under Malaysian law, Wawasan Legal's aggregate liability to you for any claim arising out of or in connection with the Services shall not exceed the total fees paid by you for the specific engagement giving rise to the claim.
We shall not be liable for:
- Indirect, consequential, or incidental losses
- Loss of profits, business, revenue, or anticipated savings
- Losses arising from delays caused by incomplete or inaccurate instructions from you
- Outcomes affected by changes in law or regulatory interpretation after delivery of advice
- Losses arising from third-party services outside our reasonable control
Nothing in these terms excludes or limits liability for fraud, wilful misconduct, or liability that cannot be excluded under applicable Malaysian law.
11. Termination
Either party may terminate an engagement by providing written notice. We may terminate or suspend an engagement if:
- Fees remain outstanding beyond 30 days of the due date
- Instructions are materially incomplete or misleading
- Continuation would place Wawasan Legal in conflict with professional obligations
- The nature of the matter changes substantially from what was initially agreed
Upon termination, you remain liable for fees incurred up to the date of termination. We will provide a final invoice for work completed and return any original documents held on your behalf.
Provisions relating to confidentiality, intellectual property, payment, limitation of liability, and dispute resolution survive termination of any engagement or these Terms.
12. Dispute Resolution
In the event of a dispute arising from our Services, we encourage you to contact us directly at [email protected] so that we may attempt to resolve the matter informally within 30 days.
If informal resolution is not reached, disputes shall be submitted to mediation administered by the Malaysian Mediation Centre (MMC) before proceeding to litigation.
These Terms and any engagement with Wawasan Legal are governed by the laws of Malaysia. The courts of Malaysia shall have exclusive jurisdiction over any dispute that proceeds to litigation.
13. General Provisions
- Entire Agreement: These Terms, together with any engagement letter, constitute the entire agreement between you and Wawasan Legal regarding the subject matter herein.
- Severability: If any provision is found to be invalid or unenforceable, the remaining provisions shall continue in full force.
- No Waiver: Failure to enforce any provision of these Terms shall not constitute a waiver of our right to enforce it at a later time.
- Assignment: You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights in connection with a business transfer or restructuring.
- Notices: Formal notices must be sent in writing to the contact details set out in Section 15.
14. Changes to These Terms
We may update these Terms & Conditions from time to time. When changes are made, the "Last Updated" date will be revised. Material changes will be communicated to active clients via email where practicable.
